These Terms & Conditions ("Terms") govern your purchase and use of the SMARTnership Negotiation Intelligence service, an AI-powered briefing tool offered by the SMARTnership Negotiation Organisation, a trading name of Future Science Corp, a corporation registered in the State of Delaware, USA (collectively referred to as "SMARTnership"). By completing a purchase or using the service, you agree to be bound by these Terms in full. Please read them carefully before proceeding.
Section 1 — Service Access & Report Delivery
Each purchase entitles you to the number of negotiation briefing reports specified at checkout — one (1) for a Single Report purchase, or ten (10) per monthly billing cycle for a Corporate Plan. Access links are single-use and non-transferable except to the intended negotiating party.
Each access link entitles one named buyer to complete the psychometric profile. A separate counterpart invitation is generated automatically once the buyer completes their profile. SMARTnership reserves the right to limit, suspend, or revoke access where misuse is detected or suspected, including but not limited to sharing access links with unintended third parties or attempting to generate multiple reports from a single access link.
Report generation: The full briefing is generated immediately once both parties have completed their profiles. AI processing begins automatically at that point. Ensure both parties are ready before proceeding.
Section 2 — Right to Refuse or Revoke Access
SMARTnership operates as a private professional intelligence service built on proprietary frameworks, methodologies, and AI systems developed over decades of research. SMARTnership reserves the right to refuse or revoke access to any individual or organisation at its sole discretion, including but not limited to:
- Actual or reasonably suspected intent to misappropriate, reproduce, or commercially exploit SMARTnership's proprietary content, frameworks, or AI outputs.
- Representation of, or affiliation with, an organisation that directly competes with SMARTnership's commercial interests where participation presents a material conflict.
- Provision of false or misleading information during registration or questionnaire completion.
- Any conduct that, in SMARTnership's reasonable judgement, misuses the service or undermines its integrity.
In the event of revocation for cause, no refund will be issued. In the event of refusal prior to report generation, a full refund of fees paid will be provided.
Section 3 — Intellectual Property & Proprietary Content
All content delivered through the SMARTnership service — including but not limited to the psychometric framework, DISC derivation methodology, NegoEconomics™ model, question sets, scoring algorithms, AI prompt structures, and generated briefing reports — constitutes the exclusive intellectual property of SMARTnership and/or Dr. Keld Jensen ("SMARTnership IP"), protected under applicable United States and international copyright, trademark, and trade secret laws.
- Personal and professional use only. Generated reports are licensed for personal and internal professional use exclusively and may not be reproduced, distributed, resold, or adapted without prior written consent from SMARTnership.
- No derivative works. You may not create products, services, training programs, or commercial offerings based on, derived from, or substantially similar to SMARTnership IP.
- Trademarks. "SMARTnership™" and "NegoEconomics™" are registered trademarks. No right to use these marks is granted by purchase of a report.
Important: Unauthorised reproduction, redistribution, or commercial use of SMARTnership IP may result in immediate revocation of access, forfeiture of fees paid, and civil or criminal legal action. SMARTnership actively enforces its intellectual property rights.
Section 4 — Payment & Refund Policy
Full payment is required to activate access. All prices are in USD and exclusive of applicable taxes. Payment is processed securely by Stripe.
- Single Reports ($199): Non-refundable once the briefing has been generated. AI processing begins immediately upon both parties completing their profiles. If a technical failure prevents delivery, contact info@smartnership.org within 48 hours and we will resolve the issue or issue a full refund.
- Corporate Plans ($995/month): Billed monthly and renewed automatically each billing cycle. May be cancelled at any time via your Stripe customer portal; no refund is issued for the current billing period. Unused report credits do not roll over between billing cycles.
- Service cancellation by SMARTnership: In the unlikely event SMARTnership discontinues the service, a full pro-rata refund will be issued within 10 business days. SMARTnership's liability is limited to the amount paid.
Section 5 — Acceptable Use & Code of Conduct
SMARTnership is committed to providing a professional and trustworthy intelligence service. By using the service, you agree to:
- Complete the psychometric questionnaire honestly and in good faith.
- Obtain your counterpart's informed consent before sharing their invitation link.
- Use generated reports only in connection with the negotiation for which they were produced.
- Maintain the confidentiality of your access link and not share it with unintended parties.
- Refrain from attempting to reverse-engineer, scrape, or systematically extract SMARTnership's frameworks, algorithms, or AI outputs.
SMARTnership reserves the right to revoke access and bar future participation for any user who violates this code of conduct, without refund.
Section 6 — Data & Privacy
Questionnaire responses are processed solely for the purpose of generating your negotiation briefing. The service is architected to minimise data retention: all processing occurs client-side in your browser and questionnaire data is transmitted directly to the Anthropic API to generate the briefing text, after which it is not retained by SMARTnership on any server.
Data transmitted to Anthropic is governed by Anthropic's privacy policy (anthropic.com/privacy) and is not used to train models. By using the service, you confirm that your counterpart has been informed of and consents to their responses being processed in this way. Section 7 — Limitation of Liability
To the fullest extent permitted by applicable law, SMARTnership's total liability to any user in connection with the service shall not exceed the amount paid by that user for the relevant report or subscription period. SMARTnership shall not be liable for any indirect, consequential, incidental, or punitive damages arising from use of or inability to use the service.
SMARTnership does not guarantee specific negotiation outcomes, business results, or financial gains as a result of using the service. Reports are generated by AI and are provided for informational purposes only. They do not constitute legal, financial, psychological, or professional advice. Results may vary based on individual circumstances, industry context, and application.
Section 8 — Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or from use of the SMARTnership service shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
Section 9 — Amendments
SMARTnership reserves the right to update or amend these Terms at any time. The version in effect at the time of your purchase applies to that transaction. Continued use of the SMARTnership service following any update constitutes acceptance of the revised Terms.
